These Terms and Conditions (“Terms”) are a legally binding agreement between you (“Client,” “User,” or “You”) and WINC Solutions LLC DBA Shade Strategy (“Company,” “we,” “us,” or “our”) governing your access to and use of The Shade Method course and related materials (“Course”). By purchasing, enrolling in, accessing, or using the Course, you agree to be bound by these Terms. If you do not agree with these Terms, do not use or access the Course.
1. Intellectual Property
All content provided in The Shade Method—including but not limited to text, videos, graphics, images, worksheets, templates, systems, processes, and software tools—is the sole property of WINC Solutions LLC DBA Shade Strategy and is protected under U.S. and international copyright and intellectual property laws. You may not reproduce, share, republish, sell, sublicense, reverse engineer, or exploit any part of the Course content without prior written permission.
2. Access and Use License
Upon full payment, you are granted a non-transferable, non-exclusive, limited license to access and use the Course for your own internal business use only. This license does not permit you to share access credentials, distribute materials, or resell any part of the Course. Violation of this clause may result in immediate termination of access and legal action.
3. Lifetime Access Disclaimer
The term 'lifetime access' refers to the life of the Course as it is offered by the Company. While we intend to maintain access for the foreseeable future, we reserve the right to discontinue the Course or platform at any time. If operations cease, reasonable efforts will be made to provide downloadable materials, but no guarantees are made.
4. Required Tools & Expenses
You understand that in order to implement the training provided, additional purchases such as sample bags, software, tools, or vendor products may be required at your own expense. These items are not included in your Course fee and are your sole responsibility.
5. No Earnings Guarantee
We make no representations or warranties of any kind regarding potential income, profitability, or business success. Your results are dependent upon your own actions, decisions, market conditions, and other variables beyond our control. The Course is an educational resource and not a business opportunity or guarantee of results.
6. Refund Policy
Due to the nature of digital products and immediate access granted upon purchase, all sales are final and non-refundable. No exceptions will be made.
7. Disclaimers
The Course is provided 'as-is' without warranties of any kind, express or implied. We disclaim all warranties including, but not limited to, fitness for a particular purpose, accuracy, and non-infringement. We are not responsible for any loss, injury, or damages resulting from your use of the Course or any business decisions you make.
8. Limitation of Liability
To the fullest extent permitted by law, WINC Solutions LLC DBA Shade Strategy shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits, business interruption, or loss of data, arising from your use or inability to use the Course, even if advised of the possibility of such damages. Our total liability shall not exceed the amount paid by you for the Course.
9. Indemnification
You agree to defend, indemnify, and hold harmless WINC Solutions LLC DBA Shade Strategy and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your violation of these Terms, your misuse of the Course, or any third-party claim related to your business practices.
10. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Williamson County, Tennessee. You consent to personal jurisdiction and venue in those courts.
11. Amendments
We reserve the right to modify or replace these Terms at any time. We will provide notice of material changes, but it is your responsibility to review these Terms periodically. Continued use of the Course after any updates constitutes acceptance of the revised Terms.
